As Interim Director Corporate Development, you'll report to the EVP Strategy & Corporate Development and play a visible role in the Corporate Development team and more broadly within Keyloop, with regular exposure to Keyloop’s executive and senior leadership team and Keyloop’s private equity investors. You'll be part of a small team responsible for a range of corporate development activities, ranging from the identification, evaluation and execution of acquisitions, disposals, portfolio reviews, partnerships and a variety of other initiatives related to the strategic composition of Keyloop.
Role & Responsibilities
- Supporting the execution of various Corporate Development projects including leading selected workstreams in a transaction process, managing external advisors (primarily legal, accounting and tax) and working with a cross-functional internal team
- Conducting high-quality financial analysis, modelling and valuation as appropriate for the situation
- Involvement in origination activities including market mapping of areas for growth, research into prospective acquisition targets and engaging with peers in various other internal functions to source all available information on a given market or target
- Taking on workstreams relating to the overall equity positioning of Keyloop, such as TAM analysis, competitive positioning, KPI monitoring etc
- Involvement in non-M&A related strategic projects which help drive the overall equity value of Keyloop
- Helping ensure that Keyloop moves forwards with those opportunities which have the potential to create value for the company and which are consistent with the overall corporate strategy, whilst efficiently terminating others
- Preparation of internal approval presentations and other materials for transactions
- Maintaining various pipeline/deal flow databases and taking an interest in industry developments
Skills & Experience
- Professional services background, whether investment banking or transaction services in a big 4 (or equivalent) accounting firm
- Some software M&A/transaction experience either gained in a transaction services or advisory role, or since having transitioned into a software company
- Demonstrable experience of undertaking granular financial analysis, modelling and due diligence
- Experience of involvement in a range of projects relevant to the role, whether acquisitions, disposals, portfolio reviews, transaction origination etc
- Comfortable working in a hybrid environment
- Creative self-starter who is able to work independently, take the initiative and complete all tasks with passion, energy, resilience
- Advanced influencing and communication skills, together with ability to tailor approach depending on audience
- Understanding of the key business drivers relevant to a software/technology business
- Experienced of working in a private equity backed business, or with private equity backed businesses
