We have an exciting opportunity for a Legal counsel based in London to offer support for various legal and compliance initiatives and projects whilst also serving as an intermediary between the company and internal/external parties on corporate legal matters. WOULD YOU DO AS A CORPORATE COUNSEL AT KOBALT?

As the Corporate Counsel, you will be an integral part of the Legal department and Kobalt’s leadership team and will have the opportunity to handle a variety of matters, including:

Core responsibilities:

  • Understanding of investment structures and incentives.
    • Understanding of all stages of debt investments including structuring, reviewing, negotiation, execution and mobilisation.
    • Experience of reviewing and negotiating a wide variety of fund structures.
  • Experience of working in a Private Equity portfolio company to assist in governance and shareholder reporting requirements.
  • Experience of complicated capital structures and debt lines
  • Experience/knowledge of Joint Ventures modules to support operating and assisting with relevant jurisdictions.
  • Assist in strategic initiatives such as product development, regulatory applications in different jurisdictions, documenting legal processes and corporate transactions, including corporate finance, mergers and acquisitions and strategic partnerships.
  • Oversee Kobalt’s commercial legal matters, including the negotiation of key contracts with external counsel, partners and suppliers.
  • Offer advice, guidance and assistance to the business to help and maximise business KPIs within the bounds of but not limited to, legislative compliance, company policies, risk management and data privacy issues and standards.
  • Working closely with the management team, board and shareholders on all applicable matters.
  • Providing support with client audits.

Other Responsibilities

  • Negotiate third party vendor contracts and liaise with the tech and publishing operations teams as appropriate.
  • Handle/oversee all other non-music industry related legal matters, including real estate and non-music litigation matters.
  • Supporting the Technology department with legal matters, working with Kobalt security business to support the data protection/privacy structure.
  • Managing relationships with external legal providers in various jurisdictions.
  • Oversee, with Kobalt’s Business Affairs team, relevant projects relating to the EU Directive where applicable.
  • Oversee and address foreign office issues.

WHAT SKILLS AND EXPERIENCE ARE WE LOOKING FOR?

  • You will be fully qualified and/or admitted to the appropriate bar to practise in your location, and have significant (7-10 + years) experience post-admission in a commercial legal role in either a law firm or with in-house experience in entertainment, media, technology or fintech with a focus on general and corporate law issues.
  • You have familiarity with EU law and experience on advising on international legal entities in particular, US and setup of new international entities.
  • You have a general familiarity with related rights frameworks as well as an understanding of the music and tech industry environments and are aware of projected directions of the industries would be advantageous.
  • As an ambassador for Kobalt internally and externally, you must possess excellent leadership skills as well as strong business acumen.
  • You are results oriented with the utmost attention to detail and efficiency.
  • You must have the ability to identify issues and generate creative and cost effective business/legal solutions to maximise success.
  • You must be organised and have the ability to prioritise conflicting demands and handle multiple tasks simultaneously in a fast-paced environment.
  • Possess strong interpersonal and communication skills essential for collaborative teamwork.
  • You are a natural communicator and can explain complex legal issues and requirements to a range of internal and external stakeholders.
  • You are highly adaptable and embrace organisational changes.
  • You are self-driven with the capability to take ownership, manage projects and work independently.
