- Review, draft, and negotiate a wide variety of commercial agreements in support of LegalZoom’s business operations, such as technology services, SaaS, licensing, employee benefits and marketing agreements.
- Act as a trusted partner to business stakeholders to swiftly address business risk and commercial needs.
- Develop and maintain form documents, templates and legal playbooks to streamline transactions.
- Structure, negotiate, and draft strategic partnership transactions, addressing legal risk in business-centric ways with the goal of strengthening partnerships and advancing opportunities.
- Lead, with the support of external counsel, M&A transactions, including due diligence, negotiations, and deal structuring.
- Draft LOI, purchase agreements, and related documents in connection with M&A transactions.
- Collaborate with internal stakeholders and external counsel to ensure smooth execution of M&A transactions.
- Drive continuous improvement in legal processes and documentation standards.
- Other duties as assigned.
- Occasional travel may be required as needed.
- 5+ years of experience in a law firm or corporate legal department with primary emphasis on M&A and commercial transactions
- Experience drafting and negotiating a variety of commercial agreements, including SaaS and tech agreements, marketing agreements and vendor agreements.
- Persuasive communicator (written and verbal) and the ability to clearly communicate complex ideas in an understandable way so our internal teams can act on them.
- Strong transactional skills, excellent judgment and the ability to balance attention to detail with practical, solution-oriented advice.
- You can work autonomously and independently with guidance but are also comfortable working collaboratively as part of a team.
- A self-starter with the ability to prioritize workload, self-manage projects, handle multiple tasks, and meet business deadlines.
- Must have a J.D. and be an active member in good standing with the bar of any state.
