We are seeking a motivated and detail-oriented Legal & Corporate Secretary to join our team in Bengaluru. This role is a hybrid position that will support our global corporate secretarial function, assist the global Commercial Legal Team with contract management, and assist with management of the Legal Team's technology toolset. The ideal candidate is a qualified Company Secretary with a proactive approach to managing compliance and legal operations.
What you’ll do:
- Corporate:
- Provide support on corporate governance and compliance matters for India.
- Manage the corporate secretarial calendar and track local compliance deadlines for the India subsidiary
- Respond to internal and external queries regarding India records and compliance documents.
- Maintain the internal subsidiary database and ensure all information is accurate and up-to-date.
- Organize, manage and maintain subsidiary/contract documents and records, for India.
- Assist with general administrative duties for the Legal Team as needed.
- Commercial:
- Support the Commercial Legal Team by reviewing, drafting, and negotiating non-disclosure agreements (NDAs) and standard agreements with assistance from the Legal Team.
- Assist with administration of the full contract lifecycle, including execution, storage, and data entry in our contract management systems for commercial agreements.
What will you need to have? :
- Qualified Company Secretary (ACS) with 3+ years of post-qualification experience.
- Proficiency in corporate governance and a strong understanding of the India Companies Act, 2013 and related regulations.
- Excellent English written and communication skills.
- Strong knowledge of statutory compliance and regulations in India.
- Experience reviewing and negotiating NDAs and other routine commercial contracts.
- Familiarity with legal technology tools (e.g., contract management systems) is highly desirable.
- Excellent administrative and organizational skills, with a keen eye for detail.
- Strong communication and interpersonal skills, with the ability to work effectively with internal stakeholders across different time zones.
